These Terms of Use (“Terms”) govern your access to and use of the AI@Suite platform, software, products, and services (“AI@Suite,” “Service,” or “Platform”) provided by Work At Cloud Sdn Bhd (“Company,” “we,” or “us”). By using AI@Suite, you agree to these Terms. If you are using AI@Suite on behalf of an organization, you are agreeing to these Terms for that organization and confirming that you have authority to bind it to these Terms. In that case, “you” and “your” will refer to that organization.

1. Eligibility

You may use AI@Suite only if you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using AI@Suite on behalf of a company, entity, or organization, you must have the authority to agree to these Terms on its behalf.

2. Services Overview

AI@Suite is a suite of AI-powered applications designed to enhance productivity, automate tasks, and support business operations. The platform includes but is not limited to the following tools:

• Productivity Tools
  AI@ Minutes, AI@ AskPro, AI@ Summary, AI@ EmailWriter, AI@ SmartReply
• Business Intelligence
  AI@ DocReview, AI@ SWOT, AI@ CallAnalytics
• Data Management
  AI@ Extract, AI@ NameCards, AI@ MiniCRM, AI@ Translate
• Admin, HR & Finance
  AI@ Recruitment, AI@ ResumeScreen, AI@ HRHandbook, AI@ OfferLetter
• Content & Marketing
  AI@ Copywriting, AI@ Storyline, AI@ Sentiment

Work At Cloud Sdn Bhd continually improves and expands AI@Suite. Some services may be subject to additional terms or conditions, which will be provided when you use those services.

3. Account and Access

You must create an account to access AI@Suite. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use or breach of security.

The Company reserves the right to suspend or terminate accounts that violate these Terms or engage in unauthorized use of the platform.

4. Input, Output, and Data Usage

4.1 Input

“Input” refers to any content, data, files, or prompts you submit to AI@Suite. You retain ownership of all Input you provide.

4.2 Output

“Output” refers to the content generated by AI@Suite based on your Input. You own the Output, subject to applicable laws, except where such ownership would violate third-party rights or applicable regulations.

“You are responsible for reviewing and verifying the accuracy, reliability, and legality of any Output before relying on or publishing it. The Company does not guarantee the accuracy or appropriateness of any Output.

You are responsible for ensuring that your use of any AI-generated Output complies with all applicable laws, including intellectual-property, data-protection, and content “regulations.

4.3 Data Usage

All information collected through or in connection with AI@Suite is subject to our Privacy Policy, which is incorporated herein by reference. By using, accessing, or providing information to or through AI@Suite, you consent to all actions taken by Work At Cloud Sdn Bhd with respect to your information, as described in the Privacy Policy.

The Company shall use commercially reasonable efforts to maintain the security, confidentiality, and integrity of AI@Suite and all data or content you provide (“Your Content”). However, you acknowledge and agree that no system is completely secure, and the Company is not responsible for any unauthorized access, alteration, or use of Your Content unless such access results directly from the Company.s gross negligence or willful misconduct.

5. Acceptable Use and Prohibited Conduct

You agree not to:

• Use AI@Suite in violation of any applicable law or regulation;
• Reverse engineer, decompile, or attempt to extract the source code of the software;
• Misuse the platform for spam, fraud, harassment, or distribution of malicious code;
• Use the Output to develop competing models or services;
• Use the Services to generate content that is unlawful, defamatory, or discriminatory.
• Resell, lease, or sublicense access to AI@Suite without written authorization.

The Company may monitor your usage to ensure compliance with these Terms.

6. Intellectual Property

All rights, title, and interest in and to AI@Suite (including but not limited to the software, algorithms, user interface, and documentation) are owned by Work At Cloud Sdn Bhd or its licensors. Except for the rights expressly granted herein, no other rights are conveyed to you.

7. Third-Party Materials, Links, and Models

AI@Suite may display, include, or make available third-party content, including data, information, applications, APIs, tools, and other products, services, or materials (collectively, “Third-Party Materials”). AI@Suite may also contain links (“Links”) to third-party websites or resources, including advertisements, sponsored links, or content embedded within the platform.

You acknowledge and agree that the Company is not responsible or liable for any Third-Party Materials or Links, including their accuracy, completeness, reliability, legality, quality, or security. All statements, representations, or opinions expressed in such Third-Party Materials are solely those of the party providing them and do not necessarily reflect the views of the Company.

Access to or use of Third-Party Materials and Links is provided solely as a convenience, and you do so entirely at your own risk, subject to the third party's own terms and privacy policies. The Company does not control or endorse and shall not be liable for any loss or damage arising from your use of or reliance upon any Third-Party Materials or Links.

7.1 Third-Party Models

AI@Suite may integrate or interact with third-party artificial intelligence (“AI”) or machine learning (“ML”) models or services operated by external providers (“Third-Party Models”), including large language models, data analysis engines, or translation APIs not developed or controlled by the Company.

You acknowledge and agree that:

• The Company does not control, train, or influence Third-Party Models and cannot guarantee their accuracy, suitability, availability, legality, security, or reliability.
• The Company makes no warranties regarding any Third-Party Models used in connection with AI@Suite.
• You are solely responsible for ensuring that your use of AI@Suite and any Third-Party Models complies with applicable laws and the third party's own terms and privacy policies.
• The Company shall not be liable for any losses, damages, or claims arising from or related to Third-Party Models, including errors, downtime, or inaccuracies.

You further agree to defend, indemnify, and hold harmless Work At Cloud Sdn Bhd, its directors, officers, employees, and affiliates from any claims, liabilities, or expenses arising from your use or misuse of Third-Party Models.

Notwithstanding anything to the contrary, any warranties or indemnities provided by the Company do not apply to Third-Party Models.

8. Payment and Credits

Certain AI@Suite Services require payment through a subscription plan or the purchase of usage credits (“Credits”). By subscribing or purchasing Credits, you agree to pay all applicable fees, charges, and taxes (including SST) as stated at the time of purchase.

8.1 Subscription Plans

For paid subscriptions, payment reminders will be issued as follows:

• 14 days prior to the due date;
• 7 days prior to the due date; and
• On the due date itself.

If full payment is not received by the due date, the account will automatically be placed in Limited Usage Status. During this period, you may still log in and view past data or listings, but access to premium or paid features will be temporarily disabled until payment is made in full.

Subscriptions do not renew automatically. Continued use beyond the billing period requires manual renewal or confirmation of payment.

Subscription fees are non-refundable, except where required by law or expressly stated otherwise.

8.2 Credits and Usage

Credits are prepaid units used to access specific AI@Suite features (for example, AI@Minutes). The credit rate applicable to each feature is displayed within the platform.

Credits are subject to the following terms:

• Credits are valid for 12 months from the date of purchase.
• Unused Credits expire automatically after 12 months.
• Credits are non-transferable, non-exchangeable, and non-refundable, except where required by law.

The Company reserves the right to adjust credit rates, pricing, or billing methods with reasonable prior notice through the platform or official communication channels.

8.3 Taxes and Billing

All prices are stated in Malaysian Ringgit (MYR) and are exclusive of SST unless explicitly stated otherwise. You are responsible for any applicable taxes arising from your purchase.

Failure to make payment or maintain valid billing information may result in your account remaining in Limited Usage Status or being suspended until the outstanding balance is settled.

9. Suspension and Termination

A. By You

You may stop using the Services at any time. If you have purchased a monthly or yearly subscription, your termination will take effect at the end of the current billing cycle. You will continue to have access to the Services until the end of that billing period. Unless otherwise required by applicable law, no refund or credit will be issued for the unused portion of your subscription.

B. By Us

We may suspend or terminate your account or access to the Services if:
You breach these Terms;

• Your use poses a security risk or potential harm to others;
• We are required to do so by law, court order, or government request; or
• You fail to make payment when due.

C. Data Retention

We may retain certain data after termination for audit, billing, legal, or compliance purposes. Any retained data will be handled in accordance with our Privacy Policy.

D. Account Removal after Termination

Once an account has been terminated, we may retain certain data for audit, billing, or compliance purposes. The terminated account and all remaining data will be permanently deleted after one hundred and twenty (120) days from the termination date. Certain data may be retained for audit or legal purposes until that time.

10. Disclaimer of Warranties

AI@Suite is provided “as is” and “as available.”

We make no warranties or representations of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that AI@Suite will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Work At Cloud Sdn Bhd, its affiliates, directors, officers, employees, agents, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your access to, use of, or inability to access or use AI@Suite;
• Any conduct or content of any third party relating to the Service;
• Any unauthorized access, use, or alteration of your transmissions or content, whether or not resulting from our negligence.

You acknowledge and agree that your use of AI@Suite is entirely at your own risk, and that the Company shall have no liability whatsoever for any damages or losses of any kind arising from your use of or reliance on the Service, to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify and hold harmless Work At Cloud Sdn Bhd, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of AI@Suite or any violation of these Terms.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Malaysia. The Parties agree to submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising out of or in connection with this Agreement.

14. Changes to the Terms

We may update or modify these Terms from time to time. The revised version will be posted on our website, and continued use of AI@Suite after the changes become effective constitutes acceptance of the new Terms.
